Montreal (Quebec) – January 30, 2012 – (TSX-V: IPE) iPerceptions Inc. (iPerceptions or the Corporation) today announced that Mr. Skuli Mogensen has resigned as a member of the Board of Directors of the Corporation (the Board). Such resignation is effective immediately. The Board would like to thank Mr. Mogensen for his contribution to the Board and announced that it has decided not to replace him.

iPerceptions also announced that Mr. Mogensen has converted the unsecured convertible debenture of the Corporation that he has subscribed on November 26, 2008 by private agreement in the principal amount of $1,500,000, as amended on March 30, 2011 (the Debenture). On January 30, 2012, Mr. Mogensen provided iPerceptions with an irrevocable conversion notice pursuant to which he indicated that he wishes to exercise his right of conversion, in accordance with the terms and conditions of the Debenture. As of January 30, 2012, the principal amount of the Debenture and the interest accrued thereon was $2,032,601. As per the terms and conditions of the Debenture, the conversion price of the Debenture was $0.13 per share of the share capital of the Corporation. As such, on January 30, 2012, iPerceptions issued 15,635,393 common shares of its share capital to Mr. Mogensen, representing 28.70 % of shares currently issued and outstanding shares capital of the Corporation.
