iPerceptions Inc. Announces Amendment to Convertible Debentures Issued in November 2008

Montreal, QC – (Business Wire – April 5, 2011) – iPerceptions Inc. (TSX.V: IPE), a leading provider of Voice of Customer web analytics using advanced intercept survey technologies, today announced that agreements have been executed with all of the holders of convertible debentures issued on November 30, 2008, in the principal amount of $3.65M (the “Debentures”) to amend the terms of the Debentures in order to extend their maturity date from November 26, 2011 to January 26, 2013.

Amendment of the maturity date of certain Debentures constitutes a related-party transaction under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI-61-101”). The Corporation did not obtain a formal valuation or minority shareholders’ approval for the transaction but instead relied on exemptions from such requirements available under sections 5.5 (g) and 5.7 (e) of MI-61-101. Each independent director of iPerceptions has approved the amendment and there has been no contrary view or abstention by any independent director.
