Demcap Investments Inc. Announces its Amalgamation with its Subsidiary, iPerceptions Inc., the Appointment of Directors and the Grant of Stock Options

DEMCAP INVESTMENTS INC. ANNOUNCES ITS AMALGAMATION WITH ITS SUBSIDIARY, IPERCEPTIONS
INC., THE APPOINTMENT OF DIRECTORS AND THE GRANT OF STOCK OPTIONS

Quebec, July 3, 2007 – Demcap Investments Inc. (" Demcap ") (TSX Venture Exchange:
DEM.P) announces its vertical short-form amalgamation with iPerceptions Inc.,
its wholly owned subsidiary, pursuant to the provisions of the Canada Business
Corporations Act. The vertical short-form amalgamation will come into force on
the date hereof. The Corporation will carry-on its business under the name " iPerceptions
Inc. " and its stock will be quoted on the TSX Venture Exchange under the symbol
" IPE ".

iPerceptions further announces that Mr. Mario Jacob has resigned as director
of the Corporation. iPerceptions is thankful to Mr. Mario Jacob for his important
role as founder of Demcap and his implication in the completion of its qualifying
transaction with iPerceptions Inc. The board directors of the Corporation appointed
Mr. Barry Cracower as director in replacement of Mr. Jacob. Mr. Cracower will
also act as Chairman of the board of the Corporation.

Mr. Cracower is a senior officer with solid marketing and management credentials.
As founder, and president of the Rexall Pharmacy chain and Vice-President of "
The Katz Group ", he was instrumental in growing revenues for The Katz Group from
$50 million in annual sales to $5 billion. Mr. Cracower has extensive experience
in the retail sector where he was a founder of The Steals People, Canada’s first
retail computer store. In addition to working on the front lines of retail, Mr.
Cracower was senior merchandise manager, non-fashion merchandise, for the T. Eaton
Co., and Vice-President, General Electric brand, for CAMCO. He is a seasoned Board
executive currently serving on the Boards of: Dominion Citrus Ltd., Med-Net Benefits
Inc., Windrush Energy, and the Heart and Stroke Foundation of Ontario.

Finally, Demcap announces that the board of directors has granted, on June 29,
2007 an aggregate of 1,840,000 options to purchase common shares pursuant to the
stock option plan of the Corporation to directors, officers, employees and members
of the Advisory Council. None of these options were granted to principal shareholders
also acting as officers of the Corporation. Each such stock option shall entitle
its holder to purchase, before June 29, 2012, one common share in the capital
of the Corporation at the price of $0.45, in accordance with the terms and conditions
of the stock option plan in force. The options shall vest over a period of 4 years
for the employees, and over a period of 2 years for the directors and members
of the Advisory Council of the Corporation. Members of the Advisory Council shall
be considered, for the purposes of the stock option plan, to be consultants of
the Corporation.

The securities of the resulting issuer will begin trading, on the TSX Venture
Exchange, under the symbol "IPE", in a few days.
